Updated Share Transfer Policy

Following the recent acquisition of the Kinisla Business (Formerly Kerry Dairy Ireland) by Kerry Co-op, the board have introduced a new board policy on the 19th of December 2025 in relation to all transfers going forward. If the beneficiaries are existing Kerry Co-op shareholders/members, they will need to provide their shareholder reference number (SRN) and transfers can proceed. If they are not, the options available are:

• One new shareholder account may be created and all the shares transferred to one beneficiary.
• One new Joint shareholder account may be created, which can have a maximum of 5 individual names on that joint account.
• The shares can be redeemed by the estate voluntarily in our offices at the par value of €0.125 per share.

Share for Share Exchange 31st December 2024

Following on from the recent acquisition by Kerry Co-operative Creameries of the 70% shareholding of the Kinisla Business (Formerly Kerry Dairy Ireland), a new Kerry Co-op share certificate was issued to each and every shareholder dated the 6th of January 2025.

As part of the arrangements for the above-mentioned transaction the following steps occurred:

1. A share sub-division by which your current holding in KCC was sub-divided by 10.
2. A share for share exchange whereby Kerry Group plc agreed to acquire 85% of the revised holding in KCC in exchange for Kerry Group plc shares at a ratio of 0.625467 Kerry Group plc shares for every one KCC share.

If on the 30th of December 2024 you were the registered holder of 100 Ordinary shares of €1.25 each in Kerry Co-operative Creameries Limited, the following are the steps that occurred on your shareholding:

i. Original KCC Balance Sub divided by 10 – Original 100 shares of €1.25 each become 1,000 shares of €0.125 each.
ii. Kerry Group acquire 85% of your new KCC Shareholding at a rate of 0.625467 Kerry Group plc shares for each KCC Share – 1,000 x 85% = 850 (Subject to share for share exchange) x 0.625467 = 531 Kerry Group plc shares issued in your name.
iii. Your remaining balance of KCC shares – 1,000 – 850 = 150 shares of €0.125 each.

KCC Shares following sub-division (i)

1000 €0.125

KCC Shares subject to share exchange – 85% (ii)

850 €0.125

New Balance KCC Shares(iii)

This means that on the 31st of December 2024 you were now the registered holder of 150 Ordinary shares of €0.125 each in Kerry Co-operative Creameries Limited.

You would have also received 531 Kerry Group plc shares. For information in relation to your Kerry Group plc shareholding, you can contact Kerry Group plc directly on 066 7128571.

The 50th Anniversary Book Launch

The success and growth of Kerry Co-op is one of the most phenomenal business stories Ireland has witnessed over the past five decades. From humble beginnings in a mud splattered field in Listowel, it has become, through Kerry plc, a world food ingredients brand name stretching to thirty-eight different countries across the globe. A new book, Kerry Co-op, The Heart of Who we Are, was launched in Tralee on Saturday night, January 18th 2025 by former Kerry Co-op founder and former CEO Denis Brosnan as part of Kerry Co-op’s 50th anniversary celebrations. The book, written by Currow native and published author Con Dennehy, looks deep into the heart and soul of many current and former Kerry Co-op directors, farmers, employees and management. At the Tralee launch, Denis Brosnan described the book as “A wonderful history of Kerry Co-op”.

“In this book, I am inviting the reader to savour a front seat view of the Kerry Co-op journey from the early 1970s to the present day as I paint a fabric that becomes the tapestry of Kerry Co-op. Their journey is one that was demanding, physical, emotional and in many ways spiritual as they overcame obstacles and challenges in their quest to make the life of farm families more enriched, economically viable and a future that was bright and sustainable,” said Con Dennehy.

“I am privileged that Kerry Co-op have given me this wonderful opportunity to draft their story, “The Heart of Who we Are”. It gave me the opportunity to study this wonderful business, paint a portrait of the people who contributed to its success and highlight the timelines throughout the decades through Annual Reports from 1975 to 2024, newspaper and media reports and a synopsis of each year dating back to the early 1970s.”

The new publication captures the spirit of the people who pioneered its success. Running to almost 500 pages and featuring 259 photographs the book features 45 interviews of various founders, directors, Board personal, farmers and employees of Kerry Co-op in Kerry, Limerick, Clare, South Galway and North Cork. The first section of the book is dedicated to the original founders of Kerry Co-op giving the readers a wonderful insight into the pioneering spirit and vision of these charismatic leaders.

Kerry Co-Operative Creameries 50th Anniversary Gala Dinner – A Celebration of Legacy and Leadership

Kerry Co-Operative Creameries marked a significant milestone with its 50th Anniversary Gala Dinner, held in the elegant surroundings of the Great Southern Hotel on Saturday, the 13th of January 2024. The event brought together members, stakeholders, and distinguished guests to celebrate five decades of progress, innovation, and community at the heart of the Kerry co-operative movement.

The evening was held under the chairmanship of James Tangney, who reflected on the co-op’s journey from its foundation to its position today as a cornerstone of the agri-food sector. In his address, he paid tribute to the generations of farmers and members whose commitment and vision have shaped the organisation’s enduring success. Special guest speakers included Edmond Scanlon and Denis Brosnan, both of whom offered unique perspectives on the evolution of Kerry. Edmond Scanlon spoke to the global growth and strategic transformation of Kerry Group, highlighting the strong foundations laid by the co-operative. Denis Brosnan, a pivotal figure in Kerry’s history, provided a reflective and insightful account of the early years, recalling the ambition and determination that drove the organisation forward.

The gala dinner was not only a celebration of past achievements but also an opportunity to reaffirm the values that continue to underpin Kerry Co-Op—community, resilience, and forward-thinking leadership. Guests enjoyed an evening of shared stories, recognition, and camaraderie, reinforcing the strong bonds that define the co-operative. The highlight of the event was the presentation to the dinner guests of the wonderful piece by Mary Lavery Carrig, the story of the first board of Kerry Co-op and its members. Mary was commissioned by the board of Kerry Co-op to do something special to mark the 50th year anniversary. She presented to the guests on the night, a beautiful film that followed the story of the first board members whereby she conducted interviews with them and their families.

As Kerry Co-Operative Creameries looks ahead, the 50th anniversary serves as both a moment of pride and a reminder of the responsibility to build on its legacy for future generations. The Gala Dinner at the Great Southern Hotel stands as a fitting tribute to a remarkable journey—one shaped by people, partnership, and progress.
