Following on from the recent acquisition of the 70% stake in the Kinisla Business (Formerly Kerry Dairy Ireland) by Kerry Co-op from Kerry Group.

Responsibility for the maintenance and administration of the Kerry Co-Op shareholder register has now formally transferred to Kerry Co-Operative Creameries.

The register is now managed directly by the Co-Op office, under the stewardship of the Company Secretary, Lorraine Mulvihill.
The official company registered office of Kerry Co-operative Creameries has also changed and is now:

Updated Share Transfer Policy

Following the recent acquisition of the Kinisla Business (Formerly Kerry Dairy Ireland) by Kerry Co-op, the board have introduced a new board policy on the 19th of December 2025 in relation to all transfers going forward. If the beneficiaries are existing Kerry Co-op shareholders/members, they will need to provide their shareholder reference number (SRN) and transfers can proceed. If they are not, the options available are:

• One new shareholder account may be created and all the shares transferred to one beneficiary.
• One new Joint shareholder account may be created, which can have a maximum of 5 individual names on that joint account.
• The shares can be redeemed by the estate voluntarily in our offices at the par value of €0.125 per share.

Share for Share Exchange 31st December 2024

Following on from the recent acquisition by Kerry Co-operative Creameries of the 70% shareholding of the Kinisla Business (Formerly Kerry Dairy Ireland), a new Kerry Co-op share certificate was issued to each and every shareholder dated the 6th of January 2025.

As part of the arrangements for the above-mentioned transaction the following steps occurred:

1. A share sub-division by which your current holding in KCC was sub-divided by 10.
2. A share for share exchange whereby Kerry Group plc agreed to acquire 85% of the revised holding in KCC in exchange for Kerry Group plc shares at a ratio of 0.625467 Kerry Group plc shares for every one KCC share.

If on the 30th of December 2024 you were the registered holder of 100 Ordinary shares of €1.25 each in Kerry Co-operative Creameries Limited, the following are the steps that occurred on your shareholding:

i. Original KCC Balance Sub divided by 10 – Original 100 shares of €1.25 each become 1,000 shares of €0.125 each.
ii. Kerry Group acquire 85% of your new KCC Shareholding at a rate of 0.625467 Kerry Group plc shares for each KCC Share – 1,000 x 85% = 850 (Subject to share for share exchange) x 0.625467 = 531 Kerry Group plc shares issued in your name.
iii. Your remaining balance of KCC shares – 1,000 – 850 = 150 shares of €0.125 each.

KCC Shares following sub-division (i)

1000 €0.125

KCC Shares subject to share exchange – 85% (ii)

850 €0.125

New Balance KCC Shares(iii)

150 €0.125


This means that on the 31st of December 2024 you were now the registered holder of 150 Ordinary shares of €0.125 each in Kerry Co-operative Creameries Limited.

Valuation of Kerry Co-operative Creameries Limited shares

It is important to note that the board of Kerry Co-op never placed a monetary value on the Kerry Co-op shares and up to the 31st of December 2024 when a valuation was requested what was given was the average price achieved from commercial transfers which went before the board.

Following on from the recent acquisition of the Kinisla Business (Formerly Kerry Dairy Ireland) by Kerry Co-op no commercial transfers have gone before the board since the 1st of January 2025. The Kerry Co-op shares are illiquid. There is no grey market operating whereby shares are being traded and there are no Kerry Group plc shares linked to the Kerry Co-op shares anymore. The par value on the share certificate is €0.125 per share.
